商業(yè)保密協議（中英文）

1、NondisclosureAgreementofCommercialSecrets為保護雙方的商業(yè)秘密，本著公平合理、平等互利的原則，雙方經友好協商達成如下保密協議：ToprotectcommercialsecretesofPartyAPartyBhereof，followingtheprincipleoffairnessequitymutualbenefitthetwopartiesinvolvedherebyreachthisnon

2、disclosureagreement:1、甲方提供給乙方的任何資料均屬于甲方的商業(yè)秘密，乙方負有保密義務。乙方負有保密義務的甲方商業(yè)秘密的范圍包括但不僅限于如下陳述對象：AlltheinfmationprovidedbyPartyAtoPartyBareinthescopeofcommercialsecretsPartyBhastheobligationtokeepthemconfidential.Thescopeofcommerci

3、alsecretsofPartyAthatPartyBhastheobligationstokeepconfidentialincludesbutisnotlimitedtothefollowings:1.1模具合同（包含品種，規(guī)格，數量、價格因素，交期等信息）、模具檢驗標準及產品檢驗標準；Moldcontract(includingvarietyspecificationquantitypricefactdeliverydateetc

4、.)moldinspectionstardproductinspectionstard1.2與產品零件有關的任何資料、參數、圖紙、夾具、工裝等；Allinfmationparametersdrawingsfixturestoolsconcerningpartsoftheproduct1.3涉及甲方產品的外觀、功能等方面的模型、樣機；Modelssamplesofproductsconcerningappearancefunctionof

5、PartyA1.4任何標明具有“OPPO”或者等效標識的產品，包括IC卡，LCD顯示屏，包裝材料如彩盒、說明書、手提袋、廣告制品、外殼等；Anyproductmarkedwith“OPPO”equivalentsignsincludingICcardLCDdisplaypackingmaterialsuchascoldispenserproductmanualhbagadvertisingproductcasing1.5甲方提供的模具技

6、術、模具專利、產品專利、開發(fā)的系統(tǒng)流程；MoldtechnologymoldpatentproductpatentsystemflowofdevelopmentprovidedbyPartyA1.6在乙方正在生產的甲方的模具狀況、生產機型、訂單明細（包括顏色、數量、交期等）等細節(jié)；InfmationofmoldproducedbyPartyBproductmodeldetailedinfmationofpurchaseder(inclu

7、dingcolquantitydateofdelivery)ofPartyAetc.1.7甲方未上市機型的外形、造型、配色、試模樣品（包括試模的素材、涂裝樣品）等原始技術資料、實物；iginaltechnicaldataactualproductofPartyAconcerningappearanceindustrialdesigncolmatchingtrialproductofmold(includingelementsoftria

8、lmoldsampleofcoating)ofthemodelthathavenotenteredmarketyet1.8其他甲方擁有知識產權結構設計方案及帶有甲方專屬LOGO的資料、實物。2.8乙方所占有、使用、監(jiān)督或管理的與甲方知識產權有關的資料、機密資料均為甲方財產，應于合作結束時悉數交還甲方，未經許可不得自行復制、傳真、利用網絡對外傳送等。Alltherelatedinfmationalltheconfidentialinfma

10、dthroughwkincaseofnoauthization2.9乙方同意甲方商業(yè)秘密之界定范圍，無論故意或過失、無論以任何形式泄露甲方商業(yè)秘密均屬違法行為，甲方有權視違法情節(jié)和危害程度，采取向警方報案、采取強制措施、追究刑事責任等非常手段。PartyBagreesonthescopeofcommercialsecretesspecifiedbyPartyA.DisclosureofthecommercialsecretesofPar

11、tyAinanyfmpurposelybyfaultisillegal.PartyAhastherighttorepttothepolicetakecompulsymeasuresclaimfcriminalresponsibilitybasedonillegalconditionharmextent.2.10乙方如發(fā)現甲方的商業(yè)秘密被泄露或者自己過失泄露秘密，應當采取有效措施防止泄密進一步擴大，并及時向甲方報告。WhenPartyBf

12、indsthatthecommercialsecretesofPartyAarediscloseddivulgedffaultofPartyBPartyBshalltakeeffectivemeasurestostopfurtherdisclosuretimelyrepttoPartyA2.11本協議規(guī)定的商業(yè)秘密所有權始終全部歸屬甲方，乙方不得利用自身對屬于甲方商業(yè)秘密資料的不同程度的了解申請知識產權，在本協議簽訂前乙方已依法具有某些

14、nedbyPartyBbefesigningthisagreementexcluded.3、甲方保密義務：NondisclosureobligationsofPartyA:對于乙方提供甲方的樣品、DEMO板，測試檢驗工裝軟件、圖紙、規(guī)格書等，甲方亦有責任根據乙方的要求，對等地遵守保密協議。BasedonrequirementsofPartyBonthesampleDEMOpaneltestinspectiontoolsoftwaredr

15、awingspecificationetc.providedbyPartyBtoPartyAPartyAaccdinglyhastheobligationtokeepthemconfidentialasperthisnondisclosureagreement.4、保密期限Termofnondisclosure甲、乙雙方確認，乙方的保密義務自本協議簽訂時開始，直至甲方主動公開該保密信息時止。乙方是否繼續(xù)與甲方合作，不影響保密義務的履行。
