簡介:復(fù)且大學(xué)會計(jì)學(xué)碩士論文摘要本論文受LUCIANBEBCHUK等1999提出的由控制權(quán)與現(xiàn)金流要求權(quán)分離帶來的代理問題的啟示,對我國民營上市公司的這一問題進(jìn)行研究。隨著我國對民營公司上市及收購國有股間接上市在政策上的放寬,民營上市公司數(shù)量不斷增多。在我國民營上市公司中,自然人往往不直接擁有上市公司的股份,而是通過以金字塔結(jié)構(gòu)為主的股權(quán)安排結(jié)構(gòu)間接控制上市公司,這加劇了我國民營上市公司的控制權(quán)與現(xiàn)金流要求權(quán)分離的代理問題。因此,本文對這一中國證券市場中的新興問題進(jìn)行研究。本文簡單介紹了股權(quán)分散結(jié)構(gòu)下的代理問題,并提出與之相對的集中控股情況下的代理問題。集中控股的股權(quán)結(jié)構(gòu)的核心代理問題存在于控股股東與小股東之間,而控制權(quán)與現(xiàn)金流要求權(quán)的分離進(jìn)一步加劇了兩者之間的代理問題。本文描述了三種導(dǎo)致控制權(quán)與現(xiàn)金流要求權(quán)分離的機(jī)制投票權(quán)差別化結(jié)構(gòu)、金字塔結(jié)構(gòu)、互相持股結(jié)構(gòu),并在第三章的理論推導(dǎo)部分以金字塔結(jié)構(gòu)為例分析了這種安排如何增加了代理成本。本文在實(shí)證研究部分以112個(gè)民營控股上市公司為樣本,分別用行業(yè)調(diào)整TOBINSQ值、行業(yè)調(diào)整經(jīng)營費(fèi)用率和行業(yè)調(diào)整總資產(chǎn)周轉(zhuǎn)率來衡量代理成本。在控制其它因素,如公司規(guī)模、財(cái)務(wù)杠桿、經(jīng)營業(yè)績和上市年限等變量后,本文發(fā)現(xiàn)控制權(quán)與現(xiàn)金流要求權(quán)的分離程度與代理成本有正相關(guān)關(guān)系,另外控制權(quán)的絕對值與代理成本有負(fù)相關(guān)關(guān)系。最后,本文討論了研究的局限性并提出相關(guān)的建議。關(guān)鍵詞控制權(quán)現(xiàn)金流要求權(quán)代理成本復(fù)且大學(xué)會計(jì)學(xué)碩士論文第一章導(dǎo)論一、選題的意義現(xiàn)有的大多數(shù)對公司股權(quán)結(jié)構(gòu)的研究著重于兩大類基本結(jié)構(gòu),股權(quán)分散結(jié)構(gòu)DISPERSEDOWNERSHIP和擁有大部分公司股份的控股股東結(jié)構(gòu)CONTROLLEDSTRUCTURE。對中國上市公司股權(quán)結(jié)構(gòu)的實(shí)證文章主要集中于對國有股一股獨(dú)大結(jié)構(gòu)的研究。本文受公司治理研究新動(dòng)態(tài)的啟發(fā),將對公司股權(quán)結(jié)構(gòu)問題中的控制權(quán)與現(xiàn)金流要求權(quán)分離對代理成本的影響進(jìn)行探討并提供經(jīng)驗(yàn)證據(jù)EMPIRICALEVIDENCE??刂茩?quán)與現(xiàn)金流要求權(quán)的分離導(dǎo)致控制股東可以通過持有公司少量股份而達(dá)到控制公司的目的。其手段通常有金字塔控股、復(fù)式投票權(quán)、交叉持股和控制董事會等方式。其中,金字塔結(jié)構(gòu)是最為普遍采用的控制方式,尤其是在對投資者保護(hù)程度較弱的國家。LUCIANBEBCHUKETA11999將這種僅持有少量股份而控制公司的結(jié)構(gòu)稱為少數(shù)控制結(jié)構(gòu)CONTROLLINGMINORITYSTRUCTURE,CMSCMS在家族集團(tuán)企業(yè)盛行的國家和地區(qū)中尤為普遍,具有代表性的有日本、南韓、臺灣及西歐部分國家。少量研究表明中國的民營上市公司也開始以金字塔結(jié)構(gòu)為主的控制方式控制多個(gè)或單個(gè)上市公司。但對于由此引起的代理問題進(jìn)行探討的文獻(xiàn)還比較缺乏,原因在于樣本及相關(guān)數(shù)據(jù)的缺乏。直到最近兩年,民營控股上市公司的數(shù)量才達(dá)到三位數(shù)字,年報(bào)中才開始披露公司的最終控制者等信息,所以對這一問題的研究才剛剛開始。本文試圖用相對嚴(yán)謹(jǐn)?shù)姆椒▽ΜF(xiàn)金流權(quán)與控制權(quán)分離對代理成本的影響進(jìn)行研究。我國現(xiàn)有的研究多以TOBINSQ來衡量代理成本??紤]到我國A,B股市場的分割,上市公司大量的非流通股沒有市值以及中國股市短期行為對股價(jià)的影響,TOBINSQ未必是對代理成本的最合適的衡量。本文試圖用另外兩個(gè)國外文獻(xiàn)中曾使用的用于衡量代理成本的變量,經(jīng)營費(fèi)用率和總產(chǎn)周轉(zhuǎn)率來衡量代理成本,進(jìn)行補(bǔ)充驗(yàn)證。本文還將考察民營控制權(quán)的絕對數(shù)對公司價(jià)值及代理成本的影響。以檢驗(yàn)在對投資者保護(hù)比較弱的經(jīng)濟(jì)體里,集中控制的結(jié)構(gòu)有是否利于提高公司價(jià)值和經(jīng)營效率。
